Terms of Service

Effective Date: 10/15/2026

Welcome to Gloud Tech Solutions ("Gloud", "we", "our", or "us"). These Terms of Service ("Terms") govern all client engagements, master services agreements (MSAs), sprint statements of work (SOWs), and your use of our website and digital services.

Gloud Tech Solutions is an international software engineering and cloud consulting firm registered in Pakistan, delivering digital services globally with on-demand strategic management and engineering coordination in Dublin, Ireland.

1. Engagement Models & Sprints

We deliver digital engineering through transparent, iterative engagement models designed to minimize overhead and maximize velocity:

  • 2-Week Pilot Sprint: Fixed-scope sprint delivering a tested software increment, architecture refactor, or prototype deployed to an accessible staging environment.
  • Dedicated Agile Squads: Ongoing monthly retainers providing dedicated engineering teams (lead architect, senior full-stack/mobile engineers, QA) shipping bi-weekly releases.
  • Fixed-Scope Milestones: Defined project specifications with deliverables tied to mutually agreed milestone acceptance criteria.

2. 100% Intellectual Property Assignment

We believe founders must maintain complete sovereignty over their technology:

  • Complete Ownership: Upon full settlement of invoices for the corresponding sprint or milestone, all intellectual property rights, source code, design assets, database schemas, and documentation created specifically for the client are assigned 100% to the client.
  • No Vendor Lock-In: We never withhold repository access, credentials, or deployment pipelines. Clients retain the right to terminate sprint engagements at the conclusion of any active two-week sprint cycle without penalties.
  • Pre-Existing Tools: Standard open-source libraries and frameworks (e.g. Spring Boot, Kotlin Multiplatform, Next.js, PostgreSQL, Apache Kafka) remain subject to their respective open-source licenses (e.g. Apache 2.0, MIT).

3. Client Review & Staging Acceptance

Every sprint release is deployed to an isolated preview/staging environment (Vercel, AWS, or GCP) for client testing and verification.

  • Review Period: Clients have ten (10) business days following sprint delivery to test and submit written defect reports.
  • Bug Fix Commitment: Any verifiable bugs or deviations from the sprint backlog submitted within the review period will be remediated by Gloud at no additional cost.
  • Deemed Acceptance: If no written defect notice is received within ten (10) business days, or upon production deployment by the client, the sprint deliverables are deemed accepted.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all proprietary codebases, trade secrets, architectural diagrams, customer lists, and commercial terms as strictly confidential. Confidential information shall not be disclosed to any third party without prior written consent, except where required by law.

5. Cross-Border Data Processing & GDPR

Where an engagement involves the processing of European Economic Area (EEA) or UK personal data, the parties shall execute a Data Processing Addendum (DPA) incorporating standard contractual clauses (SCCs) as outlined in our Privacy Policy.

6. Warranties & Limitation of Liability

We perform all software engineering services with professional care and industry best practices. Except as expressly provided in an applicable SOW, services and software deliverables are provided "as is".

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. Gloud's total aggregate liability arising out of any engagement shall be limited to the total fees paid by the client under the specific sprint or statement of work giving rise to the claim during the preceding three (3) months.

7. Governing Law & Dispute Resolution

These Terms and any individual statements of work shall be governed by and construed in accordance with the laws agreed upon in the master services agreement. The parties agree to first seek amicable resolution through good-faith executive negotiation before pursuing formal arbitration.
